Terms of Service

These Terms of Service govern the relationship between Aetrix LTD ("we", "us", "our") and our clients ("you") when you engage us to design, develop, or deliver digital services including websites, online shops, CRM systems, and AI integrations.
By engaging our services, you agree to these terms. Please read them carefully.
1. Services
We provide bespoke web design, development, and digital services as agreed in writing (email, proposal, or contract) between us. The specific deliverables, timeline, and pricing for each project are set out in the project proposal or statement of work.
2. Project Process
All projects begin with a discovery conversation (free of charge) followed by a written proposal. Work begins only after you have approved the proposal and, where applicable, paid any agreed deposit. We work iteratively and will keep you informed at each stage.
3. Payments
- Payment terms are specified in each individual project proposal
- Unless otherwise agreed, we require a deposit before work begins and final payment before launch
- Late payments may result in work being paused until the outstanding balance is cleared
- All prices are in GBP and exclusive of VAT unless stated otherwise
4. Satisfaction Guarantee
We stand behind our work. If you are not satisfied with the final deliverable and we are unable to resolve your concerns through revisions, we will work with you to reach a fair outcome. Our "you pay nothing" offer, where applicable, is subject to the specific terms outlined in the relevant project proposal.
5. Your Responsibilities
To allow us to deliver your project on time and to the standard you expect, you agree to:
- Provide accurate and timely information, content, and feedback
- Ensure you hold the rights to any content (text, images, logos) you supply to us
- Respond to review requests within a reasonable timeframe
- Make payments on time as agreed
6. Intellectual Property
Upon final payment, you own the final website or deliverable we have created for you. We retain the right to display the project in our portfolio unless you request otherwise in writing. Any third-party components (e.g. licensed fonts, plugins, or frameworks) remain subject to their own licence terms.
7. Confidentiality
We treat all information you share with us as confidential. We will not disclose your business information, designs, or project details to third parties without your consent, except where required by law.
8. Limitation of Liability
While we take every care in our work, Aetrix LTD's total liability for any claim arising from our services shall not exceed the total fees paid by you for the project in question. We are not liable for indirect or consequential losses, including loss of business or revenue.
9. Termination
Either party may terminate a project in writing. If you cancel a project after work has begun, you remain liable for fees covering the work completed to the date of cancellation. We reserve the right to terminate an engagement if you act in breach of these terms.
10. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes to These Terms
We may update these Terms of Service from time to time. Any changes will be published on this page. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
